1. Website Information
Website content is provided for general information and preliminary brokerage discussion only. Yacht specifications, pricing, availability, build slots, delivery estimates, savings estimates and other commercial indications may change and should be independently verified before reliance or commitment.
2. No Contract by Website Use
Browsing this website, submitting an enquiry, receiving an introduction or exchanging preliminary information does not by itself create a brokerage mandate, agency, fiduciary relationship, purchase agreement, shipyard contract, commission entitlement or other contractual relationship. Binding obligations arise only from applicable written agreements signed by the relevant parties.
3. Brokerage & Referral Relationships
EYB may act as buyer representative, seller representative, introducing broker, sourcing intermediary or co-broker, depending on the specific engagement. The role, authority, scope of services, commission and payment mechanics should be confirmed in writing for each transaction or referral.
4. New-Build Yard Referrals & Non-Circumvention
Where EYB introduces a client, prospect, beneficial owner, family office, advisor or other counterparty to a new-build shipyard, designer, project team or other industry participant, the parties may enter into a separate non-circumvention and commission agreement (“NCA”).
Where such an agreement applies, the parties may agree that an introduced counterparty, opportunity, project, yard relationship or transaction is protected for the agreed period and that the parties will not intentionally bypass the introducing party in order to avoid an agreed fee or commission. The exact protected parties, transaction scope, duration, commission basis, payment trigger and permitted direct dealings must be defined in the signed NCA.
A website notice is not intended to replace a signed NCA and does not, by itself, impose a non-circumvention obligation. Any commission entitlement should be evidenced by the applicable written agreement and the circumstances of the introduction.
5. Co-Brokerage &
Website content does not by itself create a commission entitlement or non-circumvention obligation.
Any fee, commission, referral arrangement or protection applies only to the extent agreed in a
separate written agreement signed by the relevant parties.
Commission
EYB may cooperate with other licensed or professional brokers, central agencies, shipyards or representatives. In a co-broker transaction, commissions may be shared or allocated between participating parties according to a written co-brokerage agreement, listing agreement, referral agreement or transaction-specific confirmation.
Unless expressly agreed otherwise in writing, no party should assume that EYB will be responsible for another broker’s compensation, or that a commission is payable merely because an introduction occurred. Commission calculations, splits, VAT/tax treatment, invoicing and payment timing should be documented before a transaction closes.
6. Conflicts & Transparency
Where EYB may receive compensation from a seller, shipyard, co-broker or other counterparty, the nature of that compensation may be disclosed as required by applicable law and the relevant engagement. Clients should ask for clarification where a potential conflict or compensation arrangement could affect the scope of representation.
7. External Websites
Links to third-party websites are provided for convenience. EYB does not control and is not responsible for the content, security, privacy practices or availability of third-party websites.
8. Limitation of Responsibility
To the maximum extent permitted by applicable law, EYB is not responsible for losses arising solely from reliance on preliminary website information, third-party information or unverified yacht specifications. Nothing here excludes liability that cannot lawfully be excluded.
9. Governing Law
Unless a signed transaction-specific agreement provides otherwise, the relationship concerning this website is intended to be governed by the laws of the State of California, without regard to conflict-of-law principles. Mandatory laws applicable to users in the EU/EEA, UK or another jurisdiction are not intended to be displaced where they cannot lawfully be excluded.
